Using of Web Site of Agency for consulting and management "Mediterranean Dealmaker" and its „International Business Club“ membership Agreement

Article 1.

This is an agreement between you (the Member of International Business Club ”Mediterranean Dealmaker” and the user of this website) and the administration of Mediterranean Dealmaker (the "Agreement") regarding your use of Mediterranean Dealmaker 's website, database, interactive information, communication, and transaction service allowing access to the member listings, directory searches, consultation, and similar. By registering as member of the Club and with or using this website, you agree to be bound by all the terms and conditions of this AGREEMENT. If you do not agree with the terms and conditions of this Agreement, please exit our site at this time.

Article 2.
 
This Agreement  contains the entire terms and conditions that apply to your use  of website and/or co-branded websites which Mediterranean Dealmaker may operate or host from its or co-host servers (collectively referred to herein as "Site").
In this Agreement, "Expert" means any person or entity that is an authority in a discipline that requires specialized knowledge and experience helpful to small and medium size businesses from any  country from Euro-Mediterranean area or any country in the World, in getting together knowledge and experience. Our members are owners of companies, entrepreneurs, company directors, managers, experts, lawyers, court interpreters, architects, university professors… and all other free professionals from Europe, the Mediterranean or all around the world interested in doing business in Europe and the Mediterranean.
 
Article 3.

Because Member authentication on the Internet is difficult, Mediterranean Dealmaker cannot and does not confirm that Members are who they claim to be except the members recommended by Mediterranean Dealmaker itself or members recommended by other members familiar to Mediterranean Dealmaker.

Article 4.

Mediterranean Dealmaker does not warrant the truth or accuracy of what the Members have represented to Mediterranean Dealmaker or what they have requested to be listed and made public on the Site. Specifically, without in any way limiting any other provision of this Agreement, Mediterranean Dealmaker does not  warrant, or guarantee the quality, safety or legality of the items put by members, but it will control and remove inadequate, vulgar or commercial or political items. Mediterranean Dealmaker does not warrant, or guarantee that any Member is who he or she claims to be or is not acting under false pretenses, except Members that are familiar to Mediterranean Dealmaker or recommended by itself or by other members known to the Mediterranean Dealmaker.

Article 5.

Mediterranean Dealmaker may, at its sole discretion, take actions to verify the exactness of information presented by Members of the Mediterranean Dealmaker. Such actions do not limit, expand, or otherwise affect its obligations under this Agreement. For an example, Mediterranean Dealmaker may endeavor to establish a member-initiated feedback system to allow you to evaluate the Member with whom you are dealing. Mediterranean Dealmaker also encourages you to communicate directly with other Members or other professionals to help you evaluate with whom you are dealing. Please practice safe usage. If you have any concerns about an individual, take measures to safeguard yourself.  Information supplied by Members could be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. Mediterranean Dealmaker expects that you will use common sense when using the Site.

Article 6.

Any entity or person who wish to be registered in the directory must register using Mediterranean Dealmaker’s registration process ("Registration Process"). We require the Registration Process so that Members can obtain a username ("User Name") and a password. Your User Name will be used to identify you on the Site. You may log in to the Site, or modify your information, only through your User Name and password. You may not have more than one account or User Name with Mediterranean Dealmaker. By registering with Mediterranean Dealmaker, you certify that the contact information you provide in the Registration Process is accurate and belongs to you.

Article 7.

You are responsible for maintaining the confidentiality of your password and for any and all activities that occur under your User Name and password. You agree to notify Mediterranean Dealmaker immediately at official e-mail of Mediterranean Dealmaker of any unauthorized use of your account or any other breach of security you learn about.
Your receipt of an electronic confirmation from Mediterranean Dealmaker that your Registration Process is complete does not constitute an acceptance of your registration. Registration Process as a Member may require additional verification information before accepting such registration and Mediterranean Dealmaker reserves the right at any time to decline, suspend, or terminate your membership as set forth by this Agreement.

Article 8.

Mediterranean Dealmaker reserves the right to modify the membership program, dues, fees, charges or rates at any time upon notice consistent with this Agreement.
To be listed in Mediterranean Dealmaker as a Member, you must complete the Mediterranean Dealmaker Registration Process and choose a paying method in order to pay your membership dues.
Only Members, as defined above, are eligible for membership with Mediterranean Dealmaker. Mediterranean Dealmaker reserves the right to reject any request for membership. A membership cannot be assigned or transferred. You agree to be responsible for all membership dues, fees, or charges incurred on your account by you, or any one you allow to use your account in violation of this Agreement.
Your membership may be canceled or terminated at any time in accordance with the terms of this Agreement.

Article 9.

We offer to our members “AFFILIATE PROGRAM” in 3 steps.

Affiliate Program provides members cooperative relationship with Mediterranean Dealmaker.

Step 1. On-line registration, activation and billing.
Registration is simple and requires from you to enter the data in obligatory fields marked with (*) and other data.  

Account activation.
After registration you will receive a link at the email you provided during registration. You need to click on it in order to activate your account. If you do not do it so within 48 hours, the account will be deleted.

Article 10.

Payment Annual membership fees are quoted and payable in EUR. By completing the Registration Process you agree to pay all amounts as indicated at the eumedexperts.com. After registration you will receive pro forma invoice with payment instructions at the email that you provided during registration. After the payment you will receive a (receipt) invoice, at the same email address. Deadline for payment is 15 days. If payment is not done in this period, the account will be unactivated. Account will be kept another 45 days in the database. If the payment is made in this period your account will be activated again, unless your account will be permanently deleted.

 Mediterranean Dealmaker reserves the right, without prejudice, to waive some or all of the applicable signup and/or membership fees for specific marketing purposes from time to time.

Article 11.

How to send recommendations? When you log in with your username and password in the login part to the right side of the site, on the left part dedicated for members appears "Recommend" button. Clicking on this button opens the system for sending the recommendations, where you type email of person you want to recommend membership, write your message, and security code, and clicking on "Send" recommendations message will be sent.

In this way, the one to whom you recommend membership will receive a link at the email. Clicking on the link he or she will come on the registration page. In your profile will appear blue star, and when a new member pay annual fee, you will receive a message from the administrator, asking you for bank account number and payment instructions, and commission will be paid to you. If the newly joined member withdraws from membership and do not pay membership fee within the stipulated period, his or her account will be disabled, and you will lose the blue star. The commission will be paid only and not before the payment made by the new associate member.

Article 12.

Step 3. Earn!
Membership lasts one year, starting from the date of admission to the same date of the following year (example: from 15.02.2010 to 15.02.2011). Throughout this period, you have an excellent opportunity to make revenue. Its amount will depend on your creativity, acquaintances, connections, effort, etc.

Article 13.

Mediterranean Dealmaker's fees are subject to change at any time and for any reason. Members remain responsible for paying all applicable Internet access charges, taxes and any other costs you incur through the use of or access to our servers.
Prior to renewing your membership, Mediterranean Dealmaker will advise you of any renewal options and the then existing membership dues, fees, and charges by sending notice as required under this Agreement. Failure to maintain a current and working e-mail address in your Mediterranean Dealmaker membership account constitutes a waiver of your right to automatically receive this information through any other means, electronic or otherwise.

Article 14.

You must provide your exact billing address and telephone number to properly process your membership application and corresponding dues, fees, and charges. 

Article 15.

You may always contact Mediterranean Dealmaker customer service by e-mail or telephone concerning the billing of membership dues, fees or charges or other questions regarding the status of your membership account. If your inquiry is not resolved to your satisfaction within fifteen (15) business days of calling or sending e-mail and in no event later than sixty (60) days after you should have discovered a questionable billing or other discrepancy in your membership account, you must write to Mediterranean Dealmaker’s customer service department, Mailing Address: “Mediterranean Dealmaker”, Jug Bogdana 25/14, 35000 Jagodina. Serbia.
Failure to write within these time frames waives your right to question the status of your account.

Article 16.

Eumedexpert.com Site is only available for use by individuals who are age 18 or over. The   Site may not be used by scripts, machines or automated services.
Eumedexpert.com Site may be used only for lawful purposes. You must comply with all applicable local, state, national and international laws, regulations or conventions, including without limitation those related to data privacy, international communications, and exportation of technical or personal data. You may not use the Eumedexpert.com Site for any criminal or illegal activities or any activities that might be legally actionable.

Article 17.

Eumedexpert.com reserves the right to determine what constitutes Internet abuse and objectionable conduct. If Mediterranean Dealmaker believes, in its sole discretion, that a violation of these Guidelines has occurred, it may take responsive action. Such action may include, but not be limited to, permanent removal of illegal or inappropriate information or content, or suspension or termination of your membership and access to eumedexperts.com.  

Article 18.

Violations of system and network security are prohibited. You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any session being conducted on the Site. You may not misuse system resources including but not limited to employing posts or programs which consume excessive CPU time or storage space; permitting use of mail services, mail forwarding capabilities, accounts, or auto-responders other than for your own account. You also agree not to use your Eumedexpert.com -issued password for any unauthorized or prohibited purpose. If you notice a problem with other members please inform us by contacting info@eumedexpert.com.

Article 19.

Mediterranean Dealmaker enables registered Members to provide addresses, phone numbers, descriptions, pictures, PDF or other document formats, comments and other content ("Your Content") to its Site. When you post Your Content on the Site, you understand and agree that Your Content can be viewed and used by other visitors to the Site.
By becoming the member of Mediterranean Dealmaker and posting Your Content on the Site, you hereby grant Mediterranean Dealmaker a non-exclusive, perpetual, irrevocable, unrestricted, transferable, fully sub licensable, worldwide, royalty-free license to use, distribute, display, reproduce, perform, modify, adapt, publish, translate and create derivative works from Your Content .

Article 20.

The content, layout, design, concept, and organization of the Mediterranean Dealmaker Site are subjects to Mediterranean Dealmaker patents, copyrights, trade secrets, and other intellectual property rights.
All rights are reserved.
You acknowledge and agree that Mediterranean Dealmaker or its Venture Partners owns all right, title and interest in   (I) the Site; (II) the technology available on  the Site; and (III) all copyrights, patents, trademarks and other intellectual property rights therein. Any use of the Mediterranean Dealmaker Site, technology, and/or the copyrights, patents, trademarks or other intellectual property rights, other than as described in this Agreement, is not licensed and is strictly prohibited.

Article 21.

You agree that you will obtain the express written permission from Mediterranean Dealmaker before you copy, upload, transmit, reproduce, distribute or in any way exploit any Mediterranean Dealmaker technology and/or the copyrights, patents, trademarks or the other intellectual property rights, obtained through the eumedexpert.com Site. In addition, you agree not to copy the layout, design, concept and organization of the Site during the Agreement and for a period of five years after termination.   

Article 22.

Our information is not sold, bartered or traded by Mediterranean Dealmaker. Correctly entering your contact information is important so that Members and Site visitors requiring business cooperation or experts support can contact you. Mediterranean Dealmaker may display URLs or icons that allow other members or Site visitors to link to other web sites. Any content, representations, or warranties made on such other web sites regarding privacy or any other matter are the sole responsibility of the operator of the site, and Mediterranean Dealmaker assumes no liability, obligation, or responsibility for such content, representations, or warranties.
 
Article 23.

This Agreement shall be effective for as long as you wish to be member of Mediterranean Dealmaker.
You may terminate this Agreement with or without cause, upon thirty (30) days notice to Mediterranean Dealmaker.
Mediterranean Dealmaker may terminate this Agreement immediately if, based on Mediterranean Dealmaker sole judgment, it determines that you have (I) breached this Agreement (II) infringed or violated any intellectual property right of Mediterranean Dealmaker or (II) infringed or violated any intellectual property right or privacy or publicity right of a third party or (IV) violated the ethical and professional standards required from its Members.  

Article 24.

Mediterranean Dealmaker may modify this Agreement at any time in its sole discretion. Any modification is effective immediately upon either a posting on the eumedexpert.com, currently located at http://www.eumedexpert.com, or by a message from Mediterranean Dealmaker sent by electronic mail, or by conventional mail. If any modification to this agreement is unacceptable to you, you may immediately terminate your subscription. However, if you do not terminate your registration, or continue to use the eumedexpert.com, following notice of any modification to this agreement, your continued use will mean that you have accepted that modification.

Article 25.

Jurisdiction and Governing Law: Serbian Law Applies
This Site is controlled and operated from our offices in Jagodina, Serbia. You agree that all matters arising from or relating to the use and operation of the Site and Membership relationship shall be governed by the laws of the Serbia, without regard to conflicts of laws principles. The courts of the Serbia, Court of Jagodina, shall have exclusive jurisdiction to adjudicate any dispute arising out of or in connection with this Agreement or arising from or relating to the operation or use of the Site. In the case that the office of Mediterranean Dealmaker remove to the other Mediterranean city, it will applicable law of country where the city of the new head office  is situated, starting from the day of opening new office in other country and closing previous office.

Article 26.

Except as explicitly stated otherwise, all notices permitted or required under this Agreement shall be by email, to us at info@eumedexpert.com, and to you at the email address you provide Mediterranean Dealmaker during the registration process, or to such other address as either of us shall specify in writing as our addresses for notice. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Evidence of successful transmission shall be retained.
